Terms of Service

1. Introduction & Acceptance
These Terms of Service (“Terms”) are a legal agreement between you and TONIVO LTD (“Tonivo”, “we”, “us”, or “our”), a company registered in England and Wales (company number 17117959), with its registered address at The Bank Main Street, Tingewick, Buckingham, England, MK18 4NN.
By creating an account or using the Tonivo platform at tonivo.co.uk, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you must not use the platform.
These Terms are governed by the laws of England and Wales.
2. Eligibility
- You must be at least 16 years old to create an account and use Tonivo.
- If you are under 18, you represent that you have the consent of a parent or legal guardian to use the platform.
- You may only create and maintain one account per person.
3. Account Registration & Security
- You must provide a valid email address to register.
- You must create a secure password (minimum 8 characters, including uppercase, lowercase, a number, and a special character).
- You must verify your email address before you can access the platform.
- You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.
- You must notify us immediately at hello@tonivo.co.uk if you become aware of any unauthorised access to your account.
- All account information must be accurate and kept up to date.
4. User Content & Intellectual Property
“User Content” means any content you create, upload, or share on Tonivo, including but not limited to: profile information, tracks (audio files), comments, posts and replies, messages, images, and links.
- You retain full ownership of all User Content you create.
- By posting User Content on Tonivo, you grant us a non-exclusive, royalty-free, worldwide licence to host, display, distribute, and cache your content solely for the purpose of operating and providing the platform.
- This licence terminates when you delete the content or your account, subject to the 30-day account deletion recovery window described in Section 9.
- You represent and warrant that you own or have the necessary rights, licences, and permissions to share all content you upload, and that your content does not infringe the copyright, trademark, or other intellectual property rights of any third party.
- Tonivo does not claim ownership of your User Content.
- We reserve the right to remove any content that violates these Terms.
File limits: Audio tracks up to 50 MB per file (MP3/WAV), 500 MB total storage, maximum 50 tracks. Profile images up to 2 MB. Message attachments up to 60 MB for audio, 5 MB for images.
User Content disclaimer
Tonivo does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any User Content. You may encounter content that is offensive, inaccurate, misleading, or objectionable. Tonivo is not liable for any User Content created or shared by other users, and any reliance on User Content is at your own risk. While we provide reporting tools and moderate content, we cannot guarantee that all harmful or objectionable content will be detected or removed promptly.
5. Copyright Takedown Process
Tonivo respects the intellectual property rights of others. If you believe that content on our platform infringes your copyright, you may submit a takedown notice under the Copyright, Designs and Patents Act 1988 and the Electronic Commerce (EC Directive) Regulations 2002.
Submitting a takedown notice
Send your notice to hello@tonivo.co.uk with the subject line “Copyright Notice”. Your notice must include:
- Identification of the copyrighted work you claim has been infringed.
- Identification of the material on Tonivo that you believe is infringing, including its URL or a description sufficient for us to locate it.
- Your full name and contact information (email address and, optionally, telephone number).
- A statement that you have a good faith belief that the use of the material is not authorised by the copyright owner, its agent, or the law.
- A statement that the information in your notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf.
What happens next
Upon receiving a valid takedown notice, we will act expeditiously to remove or disable access to the allegedly infringing material and notify the user who uploaded it.
Counter-notice
If you believe your content was removed in error, you may submit a counter-notice to hello@tonivo.co.uk with the subject line “Copyright Counter-Notice”, including:
- Identification of the material that was removed and its location on Tonivo before removal.
- A statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification.
- Your full name, contact information, and consent to the jurisdiction of the courts of England and Wales.
If the original complainant does not notify us of legal proceedings within 10 to 14 business days, we may restore the removed content.
Repeat infringers
Accounts that are the subject of repeated valid copyright takedown notices will be terminated.
6. Prohibited Conduct
You must not use Tonivo to:
- Harass, bully, threaten, or intimidate other users.
- Post hate speech or content that discriminates against individuals or groups based on protected characteristics.
- Send spam, unsolicited promotions, or commercial advertisements. Tonivo is for free collaboration, not selling services or products.
- Impersonate another person, user, or entity.
- Upload malware, viruses, or any other malicious software or code.
- Attempt to access another user's account without authorisation.
- Circumvent or attempt to circumvent rate limits, security measures, or access controls.
- Upload content that is illegal, including content that exploits minors.
- Use the platform for any purpose that violates applicable laws or regulations.
- Scrape, data-mine, or use automated tools to access the platform without our written permission.
- Post misleading, deceptive, or fraudulent content.
Consequences: Violations may result in a warning, removal of content, temporary suspension, or permanent termination of your account, at our discretion.
Reporting
You can report users, tracks, messages, posts, and replies that you believe breach these Terms using the in-app report button. A report may include a reason, optional details, and up to three photo attachments (JPEG, PNG, WebP, or GIF, up to 5 MB each). Reports are reviewed by our moderation team. To prevent abuse, each user is limited to 10 reports per 24 hours. Submitting deliberately false or malicious reports is itself a breach of these Terms.
7. AI-Generated Content
Tonivo is a platform built for human musicians and creators. We do not permit artificially generated music on the platform.
Prohibited content
- Music in which the melody, composition, lyrics, or vocals were generated by artificial intelligence tools, including but not limited to services such as Suno, Udio, and similar AI music generators.
- AI-generated or AI-cloned vocals, including synthetic voice reproductions of real artists.
- Tracks where the primary creative output was produced by an AI tool rather than a human creator.
Permitted use of AI tools
- AI-powered mastering, mixing, or audio processing applied to music you have written and performed yourself (e.g. LANDR, iZotope).
- AI-based noise removal, audio restoration, or cleanup tools.
- AI-assisted effects or production tools used on human-created recordings.
Enforcement
We take a graduated approach to enforcement:
- First offence: The content will be removed and you will receive a formal warning.
- Second offence: The content will be removed and your account will be temporarily suspended.
- Third offence or persistent violation: Your account will be permanently terminated.
We reserve the right to skip stages and take immediate action in cases of egregious or deliberate abuse.
Reporting
If you believe a track on Tonivo is AI-generated, you can report it using the dedicated report button available on any post or showcase containing music. Reports are reviewed by our moderation team.
8. Messaging
- Messages are private between the sender and recipient.
- You must not use the messaging system to send spam, harassment, threats, or illegal content.
- Message attachments are subject to file size limits (up to 60 MB for audio, 5 MB for images).
- Tonivo does not proactively monitor private messages. However, we may review messages in response to a user report to enforce these Terms and protect our community.
9. Account Deletion & Data Retention
- You may delete your account at any time from your account settings.
- Soft-delete: Your profile is immediately hidden from other users and search results. Your data is retained for 30 days.
- Recovery window: You can reactivate your account within 30 days by logging back in.
- Permanent deletion: After 30 days, all your data is permanently and irreversibly deleted, including your profile, tracks, comments, messages, follows, and blocks.
- Deletion feedback: If you provided a reason for deleting your account, this feedback is retained separately for service improvement purposes, even after permanent deletion. See our Privacy Policy for details.
- We may also suspend or terminate your account if you violate these Terms, with or without prior notice depending on the severity of the violation.
10. Availability, Service Changes & Security
Tonivo is provided on an “as is” and “as available” basis. We do not guarantee that the platform will be available at all times, uninterrupted, or error-free. We may modify, suspend, or discontinue any part of the platform at any time. We will make reasonable efforts to notify users of significant changes that affect their use of the service.
While we implement reasonable security measures (as described in our Privacy Policy), we do not warrant that the platform is immune to security breaches, unauthorised access, or data loss. You acknowledge that no internet-based service can guarantee absolute security.
Tonivo is not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to: natural disasters, power outages, internet or hosting provider failures, cyberattacks, government actions, or pandemics.
11. Third-Party Links & External Content
Tonivo may contain links to third-party websites, services, or resources shared by users in messages, posts, comments, and profiles. We do not control, endorse, or verify any third-party content or websites linked to from the platform.
- Accessing third-party links is entirely at your own risk.
- Tonivo is not responsible for any loss, damage, or harm resulting from your interactions with third-party content, websites, or services.
- You should exercise caution and judgement before clicking links or sharing personal information with third parties.
- The inclusion of any third-party link on the platform does not imply our endorsement or approval of that website, service, or content.
12. User-to-User Disputes
Tonivo is a platform that facilitates connections between musicians. We are not a party to any disputes, agreements, or arrangements between users.
- Any collaborations, transactions, or interactions between users are solely between those users.
- Tonivo is not responsible for the actions, content, or conduct of any user.
- Tonivo may, but is not obligated to, assist in mediating or resolving disputes between users.
- Tonivo does not provide financial, legal, or professional advice.
- You agree to release TONIVO LTD, its directors, employees, and agents from any claims, demands, or damages arising from or related to disputes with other users.
13. Limitation of Liability
To the maximum extent permitted by the laws of England and Wales:
- Tonivo is not liable for any loss of data, loss of profits, or any indirect, incidental, special, or consequential damages arising from your use of (or inability to use) the platform.
- Our total liability to you for any claims arising from or related to these Terms or the platform shall not exceed the total amount you have paid to Tonivo in the 12 months preceding the claim (which, for users of our free service, is zero).
Nothing in these Terms excludes or limits our liability for:
- Death or personal injury caused by our negligence.
- Fraud or fraudulent misrepresentation.
- Any other liability that cannot be excluded or limited under the laws of England and Wales, including under the Consumer Rights Act 2015.
14. Indemnification
To the extent permitted by applicable law, including the Consumer Rights Act 2015, you agree to indemnify and hold harmless TONIVO LTD, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your User Content.
- Your breach of these Terms.
- Your violation of any third-party rights, including intellectual property rights.
15. Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms or your use of the platform.
We encourage you to contact us first at hello@tonivo.co.uk to try to resolve any dispute informally before taking legal action.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Tonivo regarding your use of the platform. These Terms supersede any prior agreements or understandings, whether written or oral, relating to your use of Tonivo.
18. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via email or an in-app notification. The “Last updated” date at the top of this page will always reflect the current version. Your continued use of Tonivo after changes are communicated constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the platform and delete your account.
